These Terms of Service provide a general summary of the basis on which TDAS Accountancy Service provides services. The specific services we provide to you, together with any service-specific terms, will be set out in your engagement letter or other written agreement.
If there is any conflict between these Terms of Service and a signed engagement letter or other written agreement, the engagement letter or written agreement will take priority.
We provide accountancy, tax and related services only as set out in the relevant engagement letter or other written agreement. Any additional work or changes in scope will be agreed separately in writing.
Our advice and services are based on the information and documents you provide to us. We are entitled to rely on that information unless we have reason to believe it is incomplete, inaccurate or misleading.
Our fees will be set out in the relevant engagement letter, proposal or other written agreement. Unless otherwise agreed in writing, invoices are payable within 7 days of the invoice date.
We reserve the right to charge interest and recover reasonable costs on overdue amounts where permitted by law or under the relevant contract.
We may suspend work or delay submission of non-urgent work if invoices remain unpaid, provided this is lawful and appropriate in the circumstances.
We act in accordance with applicable professional and ethical standards relevant to the services we provide. Where applicable, we also comply with the standards and requirements that apply to AAT licensed members.
If you are dissatisfied with our services, please contact us in the first instance so that we can try to resolve the matter promptly and fairly.

We will provide our services with reasonable skill and care.
Nothing in these Terms of Service excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the above, and to any different provisions set out in the relevant engagement letter or other written agreement, we will not be liable for:
Any overall cap on liability that applies to a particular engagement will be set out in the relevant engagement letter or other written agreement.
Our working papers, internal files, methodologies and file notes remain our property unless otherwise required by law.
We will keep client records and information for a reasonable period in line with our legal, regulatory and operational requirements. Original documents supplied by you remain your property and will be returned on request where appropriate.
We will treat your information as confidential, subject to any disclosure required or permitted by law, regulation, professional obligation, court order, insurer requirement or quality assurance review.
We process personal data in accordance with applicable data protection law and our Privacy Policy.
Either party may terminate an engagement in accordance with the relevant engagement letter or other written agreement, or by giving reasonable written notice where no specific termination terms apply.
On termination, fees and expenses remain payable for work carried out up to the termination date, together with any reasonable costs of administration, handover or disengagement where applicable.
We will not be responsible for delay, interruption or failure to perform services where this results from events outside our reasonable control, including failure of utilities, internet or communications services, cyber incidents, industrial action, illness, severe weather, fire, flood, acts of government or other similar events.
These Terms of Service are governed by the laws of England and Wales. Subject to any mandatory rights available under applicable law, the courts of England and Wales will have jurisdiction in relation to any dispute arising from these terms.
